Description of Service

Spatial9 provides AI-powered spatial audio processing services, including but not limited to stereo-to-spatial conversion, multi-format export, and API access for developers. We reserve the right to modify, suspend, or discontinue any aspect of the service at any time.

User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to:

Provide accurate and complete information
Update your information to keep it current
Notify us immediately of unauthorized use
Not share your account with others
Use the service only for lawful purposes

Content Ownership and Rights

Your Content

You retain all rights to audio files you upload to Spatial9. By uploading content, you grant us a limited license to process your files and deliver spatial audio results. We do not claim ownership of your content.

Content Restrictions

You represent that you own or have the necessary rights to upload and process all audio content. You may not upload content that infringes copyright, contains malware, or violates any laws or third-party rights.

Acceptable Use

You agree not to:

Use the service for illegal purposes
Reverse engineer or attempt to extract source code
Interfere with or disrupt the service
Use automated systems to access the service without permission
Resell or redistribute our services without authorization
Upload malicious code or viruses
Impersonate others or misrepresent your affiliation

Payment and Billing

Paid services are billed in advance on a subscription basis. You agree to pay all fees associated with your account. We reserve the right to change pricing with 30 days notice.

Refunds are provided at our discretion. You may cancel your subscription at any time, but no refunds will be provided for partial billing periods.

API Terms

If you use our API:

You must comply with rate limits and usage guidelines
You are responsible for securing your API keys
You may not abuse or overload our infrastructure
We may suspend access for violations

Service Level Agreement

We strive for 99.9% uptime for paid services. However, we do not guarantee uninterrupted access and are not liable for service disruptions caused by factors beyond our control, including internet outages, natural disasters, or third-party services.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT GUARANTEE THE QUALITY OF PROCESSED AUDIO FILES.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPATIAL9 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE.

Indemnification

You agree to indemnify and hold Spatial9 harmless from any claims, damages, or expenses arising from your use of the service, your content, or your violation of these terms.

Termination

We may terminate or suspend your account immediately for violations of these terms. You may terminate your account at any time by contacting us. Upon termination, your right to use the service ceases immediately.

Governing Law

These terms are governed by the laws of the jurisdiction where Spatial9 is incorporated, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration.

Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of significant changes via email or through the service. Continued use after changes constitutes acceptance of the new terms.
